These Terms and Conditions ("Terms") constitute an agreement between you and Debuggex Inc. ("Pleased", "we", "us", "our") governing your use of the Pleased application and website (the "Service"). By creating an account you agree to be bound by these Terms. If you do not agree to them, you must not use the Service.
Our Privacy Policy describes how we handle personal information and forms part of this agreement.
1. Eligibility
1.1 You must be 18 years of age or older to use the Service. We verify age at registration and terminate any account we identify as belonging to a person under 18.
1.2 You may maintain only one account. A telephone number may be associated with only one account at a time, and a period of 30 days applies before a released number may be used to register again.
1.3 You may not use the Service if a previous account of yours was permanently terminated for breach of these Terms.
1.4 You must have the legal capacity to enter into this agreement and must not be prohibited from using the Service under any applicable law.
2. Your Account
2.1 The Service does not use passwords. Access is authenticated by a one-time code sent to your email address, and you verify a telephone number during registration.
2.2 You are responsible for maintaining the security of the email account and telephone number associated with your account, and for all activity occurring through your account. You must notify us at support@pleased.app without undue delay if you believe your account has been accessed without your authorisation.
2.3 You may review and revoke active device sessions within the Service.
3. Charges
The Service is provided free of charge. There are no subscriptions, paid tiers, or features available only on payment, and we do not withhold candidate profiles, expressions of interest or matches in order to induce payment. We do not request payment information.
4. Acceptable Use
4.1 You must not:
(a) harass, threaten, abuse, defame or stalk any person;
(b) submit nudity or sexually explicit imagery;
(c) submit imagery depicting graphic violence or weapons directed at the viewer;
(d) impersonate any person, including by submitting images of other individuals, stock imagery, or material taken from other profiles;
(e) submit any content depicting or involving a person under 18 years of age;
(f) use the Service for commercial purposes, advertising, solicitation, fraud or unsolicited messaging, including by superimposing contact details on images;
(g) submit content that is unlawful, that incites hatred, or that infringes the rights of any person;
(h) solicit or transfer money from or to other members for fraudulent purposes, or induce other members to transact outside the Service for such purposes;
(i) access the Service by automated means, or collect information concerning other members in bulk;
(j) interfere with, probe or attempt to circumvent the security, access controls, verification or content review measures of the Service; or
(k) register an account for the purpose of circumventing a suspension or termination.
4.2 You must comply with all laws applicable to your use of the Service.
4.3 We have zero tolerance for objectionable content and for abusive members. Content of the kinds described in clause 4.1 is not permitted on the Service in any circumstances, and members who behave abusively towards others are not permitted to use the Service. Where we identify such content or such a member, we remove the content and terminate that member's access to the Service in accordance with clause 6.
5. Your Content
5.1 You retain ownership of the photographs, text and responses you submit to the Service ("Your Content").
5.2 You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (including to resize or reformat images) and display Your Content for the purpose of operating, reviewing and providing the Service, for so long as Your Content remains on the Service. This licence terminates when you remove Your Content or delete your account, subject to the retention described in our Privacy Policy.
5.3 You represent and warrant that you hold all rights necessary to submit Your Content, and that photographs you submit depict you.
6. Content Review, Reports and Enforcement
6.1 Content submitted to the Service may be reviewed for compliance with these Terms and applicable law. We may withhold content from publication, and we may remove content previously published.
6.2 You may report another member and you may block another member. A member you block is not notified. Reports are treated as confidential.
6.3 We act on reports of objectionable content and of abusive behaviour within 24 hours of receiving them. Where a report is substantiated, we remove the content concerned and remove the member responsible from the Service within that period.
6.4 Where you breach these Terms, we may take one or more of the following measures, proportionate to the seriousness of the breach and to any previous breaches:
(a) removal of the content concerned;
(b) a warning;
(c) temporary suspension of your account; or
(d) permanent termination of your account.
6.5 Conduct constituting a threat of imminent harm, confirmed impersonation, use of the Service by a person under 18, or child sexual abuse material will result in immediate permanent termination. Child sexual abuse material is reported to the competent authorities as required by law.
6.6 Any measure taken under clause 6.4, including one arising from automated review, may be appealed and will be reviewed by a member of our staff, who may reverse it. The notice provided to you explains how to appeal.
6.7 Where an account is permanently terminated, we retain limited de-identified information for the purpose of preventing circumvention of that termination, as described in our Privacy Policy.
7. Identity Verification
7.1 Identity verification is optional. Where you elect to verify, we obtain your explicit consent in advance and describe what is collected and the applicable retention period. Verification involves the processing of biometric information.
7.2 Members who do not verify have access to all functionality of the Service other than the verification indicator and the ability to filter for verified members.
8. Safety and Assumption of Risk
8.1 We do not conduct criminal background checks or identity vetting of members. Verification under clause 7 confirms only a correspondence between images. It does not establish that any member is who they claim to be, that any member is safe, or that any statement made by a member is true.
8.2 You are solely responsible for your interactions with other members, whether conducted through the Service or otherwise, and for any decision to communicate with or meet any person. You should exercise the caution appropriate to meeting a person not previously known to you.
8.3 To the fullest extent permitted by law, we are not liable for the conduct of any member, whether occurring through the Service or otherwise.
9. Availability of the Service
We do not warrant that the Service will be available without interruption or free from error. We may modify, suspend or discontinue any part of the Service. Where a modification materially reduces the functionality of the Service, we will provide notice.
10. Termination
10.1 You may delete your account at any time within the Service. Deletion takes effect following a cancellation period of 14 days, during which you may reverse the request by signing in. After that period, deletion is permanent and cannot be reversed. Further detail is set out in our Privacy Policy.
10.2 We may suspend or terminate your account where you breach these Terms, where we are required to do so by law, or where we reasonably consider it necessary for the protection of other members. Where permitted, we will notify you of the reason and of the means of appeal.
10.3 Clauses which by their nature are intended to survive termination — including clause 5.2 in respect of retained content, and clauses 8, 11, 12 and 13 — survive termination of this agreement.
11. Disclaimers and Limitation of Liability
11.1 To the fullest extent permitted by law, the Service and all content made available through it are provided "as is" and "as available", without warranty, condition or representation of any kind, whether express, implied, statutory or otherwise. We specifically disclaim all implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement, and any warranty or condition arising from a course of dealing or usage of trade.
11.2 Without limiting clause 11.1, we do not warrant that the Service will meet your requirements, that it will be available without interruption or free from error, that defects will be corrected, or that you will form any match, connection or relationship through it. We do not warrant the accuracy, completeness or truthfulness of any information submitted by another member, and we assume no responsibility for it.
11.3 To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, use, goodwill or anticipated savings, arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and whether or not we were advised of the possibility of such loss.
11.4 To the fullest extent permitted by law, and the Service being provided free of charge, our aggregate liability for all claims arising out of or in connection with these Terms or the Service shall not exceed one hundred Canadian dollars (CAD $100).
11.5 You acknowledge that the allocation of risk in this clause 11 is a fundamental basis of the bargain between us, and that we would not provide the Service free of charge on any other basis.
11.6 Nothing in these Terms excludes or limits any liability which may not lawfully be excluded or limited. This includes liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, and any liability, right or remedy arising under the Consumer Protection Act, 2002 (Ontario) — including the deemed warranty that services supplied are of a reasonably acceptable quality, which may not be waived — or under the mandatory consumer protection law of your country of residence. Where any provision of this clause 11 is held unenforceable in respect of a particular member or jurisdiction, it applies to the maximum extent permitted and does not affect the remaining provisions.
12. Indemnity
12.1 To the fullest extent permitted by law, you will indemnify and hold harmless Debuggex Inc., its affiliates, and their respective directors, officers and employees from and against any claim, demand, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees) brought by a third party and arising out of or in connection with:
(a) Your Content;
(b) your use of the Service in breach of these Terms;
(c) your breach of any applicable law or of the rights of any person; or
(d) your interactions or dealings with any other member, whether through the Service or otherwise.
12.2 This indemnity does not apply to the extent that the claim arises from our own negligence, wilful misconduct or breach of these Terms.
12.3 We will notify you without undue delay of any claim to which this indemnity relates, and will not settle it without your consent, such consent not to be unreasonably withheld. You may assume conduct of the defence of the claim with our prior written consent, in which case we will provide reasonable cooperation at your expense, and you will not settle the claim on terms imposing any obligation or admission on us without our prior written consent.
12.4 Nothing in this clause 12 limits any right or remedy available to you which may not lawfully be excluded. This indemnity does not apply to the extent it is unenforceable against a consumer under the Consumer Protection Act, 2002 (Ontario) or under the mandatory consumer protection law of your country of residence.
13. Governing Law and Jurisdiction
13.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The courts of Ontario have jurisdiction in respect of any dispute arising out of or in connection with these Terms, and the parties submit to that jurisdiction.
13.2 Clause 13.1 does not deprive you of the protection of the mandatory law of your country of residence. In particular, a consumer resident in the European Union or the United Kingdom retains the right to bring proceedings before the courts of that country and to the protection of its mandatory consumer protection law.
13.3 Nothing in these Terms requires you to submit a dispute to arbitration or waives your right to participate in a class or representative proceeding.
14. Amendment
We may amend these Terms from time to time. Where an amendment is material, we will provide notice within the Service or by email before it takes effect. Continued use of the Service after that date constitutes acceptance of the amended Terms. If you do not accept them, you must delete your account.
15. General
15.1 Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us in respect of the Service and supersede any prior agreement or understanding relating to it. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
15.2 Severability. If any provision of these Terms is held invalid or unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in full force.
15.3 No waiver. A failure or delay by either party in exercising any right under these Terms does not constitute a waiver of that right, and no single or partial exercise prevents any further exercise.
15.4 Assignment. You may not assign or transfer your rights under these Terms. We may assign or transfer ours to an affiliate or in connection with a merger, acquisition or sale of assets, provided the assignee is bound by terms no less protective of you, and provided that any transfer of personal information is made in accordance with our Privacy Policy and applicable law.
15.5 No third-party rights. Except as provided in clause 12.1 in respect of the persons indemnified, no person other than you and us has any right to enforce these Terms.
15.6 Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control, other than an obligation to pay.
15.7 Language. These Terms are drawn up in English. Where we provide a translation, the English version prevails to the extent permitted by applicable law.
